******** Company (hereinafter referred to as Party A) and ****** Company (hereinafter referred to as Party B), through technical exchanges and consultations, have agreed that Party B will produce ***** agent for Party A’s ***** plant, ensuring that the use of this agent will not affect the normal operation of the plant. Party A will place an initial order of ** tons for industrial trial use at the **** plant. The terms of the agreement are as follows:
I. Technical specifications of the ***** agent

II. Responsibilities of Party A and Party B
Responsibilities of Party A:
1. Develop an industrial trial plan in conjunction with Party B, based on the current operating conditions of the plant and the dosage required by Party B. And ensure normal refilling at the amount required by Party B. 2. Conduct on-site inspection of product quality in accordance with the product standards provided by Party B. 3. Be responsible for the equipment required for adding the agent, and collect relevant data during its trial use in order to determine the effectiveness of industrial testing. 4. Complete the industrial trial report after three months of trial use. Party B’s responsibilities: 1. To carry out technical services and guidance during the industrial trial phase, as required by Party A. 2. Party B shall supply Party A with qualified products that meet the requirements of the product standards specified in the technical agreement. 3. When supplying the products, Party B must provide the corresponding product manuals, quality specifications, inspection reports, certificates of conformity, and safety data sheets. 4. Responsible for providing Party A with written product standards, analysis items, and analysis methods. 5. Supply goods on time as required by Party A. 6. In the event of any production abnormalities, Party B shall promptly send technical personnel to the site to provide technical guidance. Upon receiving the notification, Party B shall arrive at the site within **** hours to assist in handling the matter. III. Assessment Criteria: 1. The assessment period for this industrial trial is temporarily set at 3 months. 2. With the properties of the raw materials, the feed rate, and other conditions remaining unchanged, after three months of use under ******* conditions, ******* results can be achieved. 3. During this trial period, the dosage of ***** agent is kept at ****** ppm. IV. Risk Liability 1. Any consequences arising from the impact on Party A’s production due to issues such as the quality of Party B’s products shall be entirely borne by Party B. 2. After the industrial trial is completed, Party A shall prepare an industrial trial report within three months; if the requirements set out in the technical agreement are met, Party A shall pay Party B the payment corresponding to the trial period. If the industrial trial fails to meet the criteria specified in this agreement, it is considered a failure of the industrial trial; Party A may refuse to pay the payment, and Party B has no right to demand payment from Party A under any circumstances. 3. If continued use is intended in the future, Party B shall ensure that the quality of the product remains consistent with that during the trial period; should the product quality decline, Party A may terminate its use at any time. V. Confidentiality 1. Party B requires Party A not to disclose the relevant materials provided by Party B to any third parties. 2. This confidentiality clause shall remain in force until the agreement is terminated with Party B’s consent. VI. Other Provisions 1. This agreement serves as an annex to the business contract between Party A and Party B for the purchase of ****** agents; it shall come into force upon being signed and sealed by both parties, and has the same binding force as the business contract regarding ******** agents. 2.
