China Chemical New Network News: On December 29, 2025, the Polish Oil and Gas Group signed an agreement with Sensus Group to acquire S54, the company responsible for building the new butadiene extraction facility, on a wholly-owned basis. Once completed, this facility will be integrated into PKN Orlen’s production site, thereby enhancing the group’s petrochemical industry chain; its estimated value is around 692 million zlotys. Ireneusz Fafara, CEO of PGNiG, said that this deal resolves the outstanding issues related to the investment in the Olefins III project and the butadiene facility, marking a new phase in the cooperation between the two parties. Through this plan, Bogo Oil regained full control of the facility, removing obstacles to the advancement of the \"New Chemicals Plan\" and laying the foundation for a long-term, transparent, and mutually beneficial partnership between the two parties. It is reported that the butadiene extraction unit constructed by S54 Company will process all C4 fractions, producing raffinate oil for use in downstream petrochemical processes. Both parties simultaneously signed a number of agreements and contract amendments to fully regulate their legal and business partnership. The scope of cooperation has been expanded to the Czech market; the contract period for the Králův Dvůr butadiene joint venture and related raw materials has been reduced from 2049 to 2038, while the purchase agreements for ethylene and benzene products in the Czech market have been extended by two years. This acquisition stems from Prolog Petrochemical’s expansion plans several years ago; the original project was previously operated independently of PKN Orlen’s management system. This transaction further enhances the safety of the project and its operational flexibility, helping the group to optimize the construction of individual production facilities as well as the capacity allocation for products such as ethylene oxide and ethylene glycol.
