Putailai plans to invest 240 million yuan to acquire a 5% stake in Ruyuan Fluororesin

On January 28, the company announced its intention to acquire 5% of the shares in Ruyuan Dongguangyang Fluororesin Co., Ltd. held by the related party Ningbo Meishan Free Trade Port Zhaoru Enterprise Management Partnership (Limited Partnership), for a cash amount of 240 million yuan. Upon completion of the transaction, the company’s shareholding in Ruyuan fluororesin will increase from 55% to 60%. This acquisition will increase the net profit attributable to the company’s shareholders; based on the performance targets set by the transaction counterpart, it is expected to add between 25 million and 30 million yuan per year over the next three years, thereby helping to boost the company’s overall profitability. The announcement states that Ruyuan Fluororesin is a subsidiary controlled by Putailai, with its main business focusing on PVDF (polyvinylidene fluoride) products. The company’s unaudited operating revenue for 2025 amounted to 1.509 billion yuan, with a net profit of 481 million yuan. Currently, its PVDF production capacity is 25,000 tons, with an additional 10,000 tons of capacity under expansion, which is expected to come online gradually by 2026. This transaction aims to seize opportunities in the PVDF market, increase the shareholding ratio in the holding subsidiary, and enhance strategic synergy and management efficiency. Putailai’s core business covers key materials for new energy batteries, such as anode materials, coated separators, PVDF, and binders. The company expects its net profit attributable to the parent company to be between 2.3 billion yuan and 2.4 billion yuan in 2025, representing a year-on-year increase of 93.18%-101.58% ； The net profit after deducting non-recurring items is expected to be between 2.17 billion yuan and 2.27 billion yuan, representing a year-on-year increase of 104.11%-113.52%.
