China Shenhua Plans Major Restructuring 2025-08-06 14:57:41 On the evening of August 1, China Shenhua announced that it had received a notification from its controlling shareholder, **Energy Group**, stating that the company is considering issuing shares and paying cash to acquire assets related to coal mining, coal-fired power generation, coal-to-oil and coal-to-gas production, as well as coal chemical industries, which are held by **Energy Group**, while also raising additional funds for this purpose. The company’s shares have been suspended from trading since the market opened on August 4, with the suspension expected to last no more than 10 trading days. 　　Specifically, China Shenhua plans to acquire as many as 13 target companies this time. They are respectively **Energy Group Guoyuan Power Co., Ltd., China Shenhua Coal-to-Oil Chemical Co., Ltd.,** Energy Group Xinjiang Energy and Chemical Co., Ltd., **Energy Group Wuhai Energy Co., Ltd.,** Energy Group Baotou Mining Co., Ltd., **Energy Group Shaanxi Shenyan Coal Co., Ltd., Shanxi Province Jinshen Energy Co., Ltd., Inner Mongolia Pingzhuang Coal Industry (Group) Co., Ltd., Guodian Jiantou Inner Mongolia Energy Co., Ltd., Shenhua Coal Transportation and Marketing Co., Ltd.,** Energy Group Port Co., Ltd., **Energy Group Shipping Co., Ltd.,** and **Energy Group E-commerce Co., Ltd.** 　　It is worth noting that one of the companies acquired in this deal, China Shenhua Coal-to-Oil Chemical Co., Ltd., serves as **the energy group’s platform for the chemical industry. The company focuses on the clean and efficient conversion of coal, and has successfully built and operated a series of pilot projects, including the world’s only million-ton-scale coal direct liquefaction facility, the world’s first 600,000 tons per year coal-to-olefins plant, Asia’s first 100,000 tons per year carbon dioxide capture and storage facility, and the world’s first 50,000 tons per year polyglycolic acid-based biodegradable materials production plant. 　　China Shenhua stated that this transaction is aimed at fulfilling the agreement between the company and its controlling shareholder to avoid competition in the same industry, as well as at improving the quality of the listed company, facilitating the concentration of high-quality resources within it, and creating a globally leading comprehensive energy company based on coal. The announcement also specifies that the specific assets to be included in the restructuring are still under evaluation, and the final scope of the assets to be restructured will be determined based on the information disclosed in the subsequent restructuring plan or restructuring report.
